Terms and Conditions

1. Website Offering and Business Model

The Website provides information about ZGyro marine gyroscopic stabilizers, related marine stabilization products, product specifications, product availability, sales consultations, quote requests, service and support resources, appointment scheduling, warranty information, dealer and installer coordination, and related commercial communications. The Website is intended primarily for customers, vessel owners, marine professionals, boat builders, dealers, installers, commercial operators, and other users located in or doing business with ZGyro USA in the United States.

 

ZGyro USA may, depending on the transaction and the applicable written documents, sell Products directly to end users, sell Products through dealers, supply equipment only, coordinate installers, certify installers, perform installations, coordinate commissioning, or provide service and support. The specific role ZGyro USA accepts for any transaction will be determined by the applicable written order, quote, invoice, installation agreement, dealer agreement, commissioning record, service document, or other written transaction document.

2. Relationship Between These Terms and Order Documents

The Website is primarily an informational and lead-generation platform. Unless expressly stated on a checkout page or in written Order Documents accepted by ZGyro USA, the Website itself does not create a completed sale, confirmed product reservation, installation commitment, warranty approval, service appointment, binding price offer, dealer appointment, installer certification, or exclusive commercial right.

 

If you purchase Products or Services from ZGyro USA, the applicable Order Documents will govern the commercial details of that transaction, including product model, configuration, price, taxes, payment schedule, installation scope, commissioning responsibilities, cancellation rights, return eligibility, warranty coverage, dealer or installer role, and project-specific requirements. If there is a direct conflict between these Terms and signed or accepted Order Documents, the Order Documents will control for that specific transaction, except that these Terms will continue to govern your use of the Website.

 

Dealers, installers, boat builders, shipyards, marinas, technicians, and other third-party service providers are independent businesses unless ZGyro USA expressly states otherwise in writing. No dealer or installer has authority to change ZGyro USA’s warranty, bind ZGyro USA to additional obligations, make representations on behalf of ZGyro USA, or approve remedies on behalf of ZGyro USA unless expressly authorized in writing.

 

3. Eligibility to Use the Website

You may use the Website only if you are at least the age of majority in your state or jurisdiction of residence and have the legal authority, right, and capacity to enter into a binding agreement. If you access or use the Website on behalf of a company, vessel owner, marina, dealer, installer, commercial operator, government entity, or other organization, you represent that you are authorized to bind that organization to these Terms.

 

You may not use the Website or request Products or Services if doing so would violate any applicable law, regulation, sanctions restriction, export-control requirement, vessel-safety requirement, maritime requirement, or other legal obligation.

 

4. Product Information, Suitability, and Performance

ZGyro USA uses reasonable efforts to present accurate product descriptions, model information, images, specifications, vessel-range guidance, and performance-related information. However, marine stabilization performance is highly dependent on many variables, including vessel design, displacement, center of gravity, hull configuration, loading, intended use, operating conditions, installation quality, power configuration, cooling configuration, maintenance history, sea state, user operation, and other vessel-specific factors.

 

For that reason, all product specifications, boat-size ranges, vessel-weight ranges, performance descriptions, reduction estimates, diagrams, images, and product-selection guidance on the Website are provided for general informational purposes only. They are not a substitute for a professional product-selection review, naval architecture analysis, marine engineering review, qualified installation assessment, or compliance review for your specific vessel.

 

You are responsible for ensuring that any Product is suitable for your vessel, use case, installation location, power system, cooling system, operating environment, and applicable legal or regulatory requirements. ZGyro USA may provide general recommendations, but final suitability depends on vessel-specific information that must be verified by the vessel owner, dealer, installer, boat builder, shipyard, naval architect, marine engineer, captain, operator, or other qualified professional.

 

Website performance claims, including claims relating to roll reduction, low power consumption, simple installation, minimal maintenance, vessel ranges, environmental ratings, protection ratings, or stabilization time, are subject to product model, installation, vessel configuration, maintenance, and operating conditions. No performance statement should be understood as a guarantee that a particular vessel will achieve the same result in every condition.

 

5. Quotes, Pricing, Taxes, and Availability

Prices, product availability, promotions, specifications, lead times, service availability, and project availability are subject to change without notice unless expressly stated in a written quotation or Order Document issued by ZGyro USA. We reserve the right to correct typographical errors, pricing errors, specification errors, image errors, availability errors, or other inaccuracies on the Website or in communications.

 

A request for a quote, appointment, consultation, installer referral, dealer contact, or product information does not obligate ZGyro USA to sell a Product, provide Services, reserve inventory, certify an installer, approve a dealer, or accept a project. A binding purchase or service commitment is created only when ZGyro USA issues or accepts applicable Order Documents and any required deposit, payment, or written acceptance has been completed according to those Order Documents.

 

Unless otherwise stated in the applicable Order Documents, quoted prices do not include taxes, duties, customs charges, insurance, installation, commissioning, haul-out, vessel modification, electrical work, plumbing or cooling-system work, structural work, permits, inspections, travel costs, storage, marina fees, or third-party charges.

 

6. Payments, Deposits, and Order Acceptance

Payment terms, deposits, milestone payments, final payments, accepted payment methods, credit-card fees, wire fees, late-payment charges, and consequences of non-payment will be stated in the applicable Order Documents. ZGyro USA may decline, cancel, suspend, or delay an order or service request where payment is not received, payment is reversed, required vessel information is incomplete, an order appears fraudulent, product availability changes, export or sanctions concerns arise, installer or vessel readiness is not confirmed, or a transaction presents an unacceptable business or legal risk.

 

If a deposit or special-order payment is required, the deposit may be non-refundable to the extent stated in the applicable Order Documents and permitted by law, particularly where the Product has been reserved, ordered, manufactured, configured, imported, allocated, or assigned for your vessel or project.

 

7. Returns, Exchanges, Cancellations, and Refunds

Returns, exchanges, cancellations, refunds, and related customer obligations are governed by ZGyro USA’s Returns and Cancellations Policy, the applicable Order Documents, and applicable law.

 

Because ZGyro Products are specialized marine systems that may be ordered, configured, reserved, installed, commissioned, or allocated for a specific vessel or project, return, exchange, cancellation, and refund rights may be limited. Unless ZGyro USA states otherwise in writing, Products may not be eligible for return after installation, commissioning, use, modification, damage, exposure to improper conditions, removal from original packaging in a manner that prevents resale, or expiration of any approved return window.

 

Any approved return may require advance written authorization, a return merchandise authorization number, original packaging, proof of purchase, inspection by ZGyro USA or its designee, and customer payment of applicable costs or charges, unless prohibited by law or stated otherwise in writing.

 

8. Installation, Installer Coordination, Certification, Commissioning, Operation, and Maintenance

ZGyro Products are specialized marine systems that must be selected, installed, commissioned, operated, and maintained properly. Depending on the transaction, ZGyro USA may perform installation, coordinate installation, coordinate certified installers, support dealers or installers, provide installation guidance, review commissioning information, or supply equipment only. The exact responsibilities accepted by ZGyro USA, the vessel owner, the dealer, the installer, the boat builder, the shipyard, and any other third party will be determined by the applicable Order Documents and written project communications.

 

Where ZGyro USA performs installation or commissioning under a written agreement, ZGyro USA’s responsibilities are limited to the scope expressly stated in that written agreement. Where a dealer, certified installer, boat builder, shipyard, marina, technician, subcontractor, or customer-selected service provider performs or manages installation, commissioning, electrical work, cooling-system work, structural work, mounting, integration, repair, or service, that party remains responsible for its own workmanship, supervision, subcontractors, local compliance, and professional obligations.

 

All installation, electrical work, cooling-system work, structural work, mounting, integration, commissioning, operation, maintenance, repair, and inspection must be performed in accordance with the applicable Product manual, warranty requirements, technical documentation, written ZGyro USA instructions, marine-industry practices, vessel manufacturer requirements, and all applicable laws, codes, standards, and safety requirements.

 

ZGyro USA is not responsible for damage, reduced performance, safety issues, warranty exclusions, delays, costs, or losses caused by improper product selection, improper installation, inadequate vessel structure, insufficient power supply, improper cooling, unauthorized modifications, non-genuine parts, misuse, abuse, lack of maintenance, water intrusion beyond rated conditions, corrosion, accident, grounding, fire, casualty, third-party work, or failure to follow documentation and instructions, except to the extent ZGyro USA is legally responsible under an applicable written agreement or non-waivable law.

 

9. Dealer, Distributor, Installer, and OEM / Boat Builder Structure

ZGyro USA may sell directly to end users, appoint dealers or distributors, coordinate with certified installers, work with boat builders or OEMs, and support third-party service providers. Unless expressly stated in writing, dealer and installer relationships are non-exclusive, independent-contractor relationships. ZGyro USA retains the right to sell Products directly, appoint additional dealers or installers, serve customers directly, and manage projects directly.

 

Dealers and installers must not alter ZGyro USA’s published warranty, extend warranty coverage, approve warranty remedies, modify Product designs or specifications, make unauthorized technical representations, or bind ZGyro USA to obligations not accepted by ZGyro USA in writing. Dealers and installers are responsible for their own business operations, personnel, subcontractors, local licensing, taxes, customer communications, workmanship, installation planning, installation execution, commissioning responsibilities, first-response diagnostics, and compliance with applicable laws and marine-industry standards.

 

OEM, boat-builder, shipyard, government, commercial, fleet, or other special accounts may be managed directly by ZGyro USA or under separate written agreements. No third party is entitled to a commission, territory, sector, exclusive right, customer relationship, project right, or account right unless expressly granted in a written agreement signed or accepted by ZGyro USA.

 

10. Limited Product Warranty

Certain ZGyro Products may be covered by a written limited warranty. ZGyro USA’s published warranty information currently includes a standard warranty structure based on the shorter of a stated calendar period or stated operating-hour limit, subject to the complete written warranty terms, registration requirements, exclusions, claim procedures, and remedies in the applicable warranty policy.

Any warranty statement on the Website is a summary only. The complete written limited warranty provided with, linked for, or made available for the applicable Product controls all warranty rights and obligations. Where a written warranty applies, warranty coverage is conditioned on compliance with the applicable warranty document, proper product selection, proper installation, proper commissioning, proper operation, required maintenance, use of approved parts and service procedures, timely claim submission, and inspection or verification where required.

 

Warranty remedies may be limited to repair, replacement, parts, approved labor, service, or other remedies stated in the written warranty and permitted by law. Costs related to vessel access, haul-out, marina charges, berthing, structural access, reinstatement, owner-side troubleshooting, third-party component failures, improper installation, operational misuse, maintenance neglect, environmental damage, unauthorized modifications, and other exclusions may be the responsibility of the owner, dealer, installer, boat builder, shipyard, carrier, insurer, or other responsible party as set out in the Limited Warranty Policy and applicable Order Documents.

 

To request warranty support, contact service@zgyro-usa.com and provide your name, vessel information, Product model, serial number, proof of purchase, installation details, operating hours, description of the issue, photographs or videos where helpful, alarm information where applicable, maintenance records, and any additional information requested by ZGyro USA.

 

11. No Professional, Engineering, or Safety Advice Through the Website

The Website may include technical information, specifications, images, vessel-range guidance, general installation considerations, and marine stabilization content. This content is not professional engineering advice, naval architecture advice, vessel-safety advice, installation advice, electrical advice, structural advice, legal advice, insurance advice, or regulatory advice for any specific vessel or use case.

 

You should consult qualified marine professionals before selecting, purchasing, installing, operating, modifying, repairing, or relying on any marine stabilization system. You remain responsible for safe vessel operation, compliance with applicable maritime rules, maintaining a proper lookout, following manufacturer instructions, and using seamanship appropriate to conditions.

 

12. Website Content, Intellectual Property, and Trademarks

Nothing in these Terms grants you any ownership interest or license in the ZGyro USA name, ZGyro name, logos, product names, trade dress, trademarks, or other intellectual-property rights, except for the limited right to access and use the Website according to these Terms.

If you submit information, comments, photos, videos, testimonials, vessel details, installation photos, service information, product feedback, questions, documents, or other content to ZGyro USA through the Website, email, forms, social media, or other channels (“User Submissions”), you represent that you have the right to provide those User Submissions and that they do not violate any law, contract, intellectual-property right, privacy right, publicity right, confidentiality obligation, or third-party right.

 

You grant ZGyro USA a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, display, store, modify, summarize, and distribute User Submissions as reasonably necessary to respond to you, provide quotes, evaluate vessel suitability, coordinate dealers or installers, provide support, process warranty requests, improve Products and Services, maintain business records, and, where you have consented or where otherwise permitted by law, use testimonials, photos, or feedback for marketing purposes.

 

You must not submit confidential, classified, export-controlled, sensitive personal, or third-party proprietary information unless ZGyro USA has expressly agreed in writing to receive it under appropriate protections.

 

14. Acceptable Use and Prohibited Conduct

You agree not to use the Website in any way that is unlawful, harmful, fraudulent, misleading, abusive, defamatory, infringing, privacy-invasive, security-invasive, or disruptive. You may not attempt to interfere with the Website, bypass security features, introduce malware, scrape or harvest data without permission, impersonate another person, submit false vessel or contact information, misuse forms, overload systems, or use the Website to violate export controls, sanctions, consumer-protection laws, maritime rules, or any other applicable law.

Those third parties are independent from ZGyro USA unless expressly stated otherwise in writing. ZGyro USA does not currently use SMS marketing or automated calling for marketing purposes. 18. Changes to the Website, Products, Services, and Terms

ZGyro USA may update, modify, suspend, or discontinue any part of the Website, Products, Services, product descriptions, specifications, images, availability, pricing, promotions, or Website features at any time without notice, subject to applicable Order Documents and law.

 

We may update these Terms from time to time. The updated version will be posted on the Website with a revised effective date. Your continued use of the Website after updated Terms are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Website.

 

19. Disclaimers

ZGyro USA does not warrant that any Product described on the Website is suitable for any particular vessel, operating condition, installation, regulatory environment, commercial use, government use, or safety-critical application without a vessel-specific review and applicable written Order Documents.

 

20. Limitation of Liability

To the fullest extent permitted by applicable law, ZGyro USA and its owners, officers, directors, employees, contractors, representatives, affiliates, suppliers, licensors, manufacturers, dealers, installers, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages; loss of profits; loss of revenue; loss of use; loss of data; loss of goodwill; vessel downtime; charter loss; fishing or tournament loss; travel cost; haul-out cost; marina cost; yard cost; substitute equipment cost; loss arising from delay; or other similar damages arising out of or related to the Website, Products, Services, communications, or these Terms, even if advised of the possibility of such damages.

 

To the fullest extent permitted by applicable law, ZGyro USA’s total liability for claims arising out of or related to the Website will not exceed US $100 or the amount you paid directly to ZGyro USA for the specific Website-related transaction giving rise to the claim, whichever is greater. Liability for purchased Products or Services, if any, will be governed by the applicable Order Documents and written warranty, subject to applicable law.

 

Some jurisdictions do not allow certain exclusions or limitations of liability, so some limitations may not apply to you. In those jurisdictions, ZGyro USA’s liability will be limited to the fullest extent permitted by law.

 

21. Indemnification

You agree to defend, indemnify, and hold harmless ZGyro USA and its owners, officers, directors, employees, contractors, representatives, affiliates, suppliers, licensors, manufacturers, dealers, installers, and service providers from and against any claims, demands, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Website; your breach of these Terms; your User Submissions; your violation of law or third-party rights; inaccurate information you provide; your vessel, installation, operation, maintenance, modification, repair, or use of Products; or acts or omissions by your selected dealer, installer, shipyard, marina, technician, operator, captain, crew, contractor, or other third party, except to the extent caused by ZGyro USA’s own conduct for which indemnification cannot be required under applicable law.

 

22. Export Controls, Sanctions, and Restricted Uses

You agree to comply with all applicable U.S. and non-U.S. export-control, import-control, customs, sanctions, anti-boycott, and trade-compliance laws and regulations. You may not use the Website, Products, Services, technical information, or documentation in connection with any prohibited destination, restricted party, sanctioned person, sanctioned region, unlawful end use, or unauthorized military, defense, surveillance, or government end use.

 

ZGyro USA may refuse, suspend, cancel, or delay any transaction, quote, support request, or communication if we believe that trade-compliance, sanctions, safety, legal, or reputational concerns exist.

 

23. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to the Website are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any mandatory law that gives you the right to bring claims elsewhere, the state and federal courts located in Orange County, California will have exclusive jurisdiction over disputes arising out of or relating to the Website, and you consent to personal jurisdiction and venue in those courts.

 

24. Severability, No Waiver, and Assignment

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. ZGyro USA’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. You may not assign or transfer your rights or obligations under these Terms without ZGyro USA’s prior written consent. ZGyro USA may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, change of control, affiliate transfer, or other business transaction.

 

25. Entire Agreement for Website Use

These Terms, together with any policies linked on the Website, constitute the entire agreement between you and ZGyro USA regarding Website use. They do not replace written Order Documents, product warranty documents, dealer agreements, installation agreements, service agreements, return and cancellation policies, or other written agreements that separately govern Product or Service transactions.
