This Limited Warranty Policy (“Limited Warranty”) explains the limited warranty terms that may apply to eligible ZGyro marine gyroscopic stabilizers, related ZGyro parts, and related ZGyro marine stabilization equipment supplied, sold, installed, coordinated, serviced, or supported by ZGyro USA LLC (“ZGyro USA,” “we,” “our,” or “us”) in the United States.

 

Please read this Limited Warranty carefully before purchasing, installing, commissioning, operating, maintaining, repairing, modifying, transferring, or submitting a warranty claim for a ZGyro product. This Limited Warranty is intended to work together with ZGyro USA’s Terms and Conditions, Returns and Cancellations Policy, Privacy Policy, applicable written quotations, invoices, purchase documents, installation documents, commissioning documents, service documents, dealer documents, and other written transaction documents issued or accepted by ZGyro USA.

 

Important warranty note: This Limited Warranty is a written warranty summary for publication on the ZGyro USA website. Any model-specific written warranty, warranty certificate, commissioning record, order document, service approval, or manufacturer-issued warranty document provided for a specific product or transaction may contain additional details. If there is a direct conflict between this webpage and a signed or specifically issued written warranty document for your product, the specific written warranty document will control to the extent permitted by law.

 

1. Products Covered

This Limited Warranty applies only to eligible ZGyro marine gyroscopic stabilizers and eligible genuine ZGyro parts and components supplied for use with those products (“Products”). It does not apply to non-ZGyro equipment, third-party vessel systems, vessel structures, shipyard work, marina services, unrelated electrical systems, unrelated cooling systems, vessel power systems, vessel control systems, or parts and accessories not supplied or approved by ZGyro.

The vessel owner, customer, end user, operator, or other person or entity seeking warranty coverage.

Warranty Period

The shorter of the applicable calendar period or operating-hour limit stated in this Limited Warranty, unless a different written warranty applies.

Certified Installer

A person or business trained, authorized, certified, or approved in writing by ZGyro, ZGyro USA, the manufacturer, or an authorized distributor to install, commission, inspect, diagnose, or service eligible Products.

Authorized Service Center

A service facility or service provider designated or approved to perform eligible warranty or non-warranty service on Products.

Order Documents

Written quotations, invoices, purchase documents, installation agreements, commissioning records, warranty certificates, service approvals, dealer documents, or other written documents issued or accepted by ZGyro USA for a specific transaction.

2. Standard Limited Warranty Coverage

Subject to the terms, conditions, exclusions, responsibilities, claim procedures, and limitations in this Limited Warranty, eligible Products are warranted to be free from defects in materials and workmanship when they are properly selected, installed, commissioned, operated, and maintained according to the applicable ZGyro manuals, technical documentation, written instructions, and applicable Order Documents.

 

The standard Limited Warranty begins on the date of installation or commissioning and remains in effect for the shorter of the following periods, unless a different written warranty applies to the specific Product or transaction.

Forty-eight (48) calendar months from the date of delivery of the Product to the first retail customer or vessel owner.

Operating-hour limit

Two thousand (2,000) operating hours as recorded by the Product’s internal controller.

If an eligible claim is approved, the available warranty remedy may include repair or replacement of the defective component, use of a new or factory-remanufactured equivalent component, approved diagnostic work, approved labor by a Certified Installer or Authorized Service Center, or other remedy expressly authorized in writing by ZGyro USA, the manufacturer, or the applicable authorized distributor.

 

Warranty coverage is limited to confirmed defects in materials or workmanship. It does not guarantee that every reported issue, alarm, performance concern, installation issue, vessel issue, maintenance issue, operational issue, external component failure, or environmental issue will be covered.

 

3. Optional Extended Warranty

An optional extended warranty may be available for eligible Products if purchased within thirty (30) days after the original installation date and confirmed in writing by ZGyro USA or the applicable authorized seller.

 

The optional extended warranty may extend the standard warranty period by an additional twelve (12) or twenty-four (24) months, depending on the written extended-warranty option purchased. Any extended warranty is subject to the same terms, conditions, exclusions, responsibilities, remedies, claim procedures, and limitations as the standard Limited Warranty unless a written extended-warranty document expressly states otherwise.

 

To be eligible for an extended warranty, the Product must be properly registered within the required registration period, and all required maintenance must be completed and documented according to the applicable manual, service schedule, and warranty requirements.

 

4. Warranty Registration

Warranty registration is required to activate and administer warranty coverage. The selling distributor, dealer, boat builder, installer, or Owner must ensure that a completed warranty registration is submitted within thirty (30) days after Product installation or commissioning.

 

The warranty registration should include the information needed to identify the Product, vessel, installation, owner, and service history. Failure to register the Product within the required period may reduce the effective warranty term, affect claim processing, delay support, or result in the warranty period being calculated from an earlier shipment or delivery date where permitted by the applicable warranty documents and law.

Copy of the original purchase invoice, sales record, or other proof of purchase.

Service records

Maintenance records, service logs, and relevant prior support history where applicable.

5. Warranty Transferability

This Limited Warranty may be transferable to a subsequent vessel owner for the remainder of the original Warranty Period if the transfer requirements are met. To request a warranty transfer, the new owner must provide written notice to ZGyro USA, the manufacturer, or the applicable authorized distributor within thirty (30) days after the vessel’s change of ownership.

 

The transfer notice should include the bill of sale or equivalent ownership documentation, Product serial number, current operating hours, current service records, and the new owner’s complete contact information. A warranty transfer may be denied, delayed, or treated as incomplete if the required documentation is missing, inaccurate, or inconsistent with the Product’s registration or service history.

 

6. Global Warranty Service and Regional Support

Eligible warranty service may be available through authorized ZGyro distributors, dealers, Certified Installers, and Authorized Service Centers. Because marine vessels may travel between regions, an Owner may request warranty assistance through the appropriate regional ZGyro contact, ZGyro USA, an authorized distributor, or an Authorized Service Center.

 

Commercial arrangements between manufacturers, distributors, dealers, installers, and service providers do not expand the Owner’s warranty rights beyond the written warranty terms. No dealer, installer, boat builder, shipyard, marina, technician, service provider, or other third party may change this Limited Warranty, approve a claim, extend coverage, or bind ZGyro USA to additional obligations unless expressly authorized in writing.

 

Owners whose vessels travel should keep copies of warranty registration confirmation, proof of purchase, commissioning documents, service records, and maintenance logs available for review.

 

7. Owner Responsibilities

Warranty coverage depends on proper Product selection, installation, commissioning, operation, maintenance, documentation, and timely claim submission. The Owner is responsible for ensuring that the Product is used only as intended and operated within the applicable technical, environmental, vessel-size, vessel-displacement, power, cooling, temperature, sea-state, and operational limits.

 

The Owner must follow the applicable manual, maintenance schedule, alarm instructions, operating instructions, service requirements, and written directions provided by ZGyro USA, the manufacturer, the selling dealer, the distributor, the Certified Installer, or the Authorized Service Center.

Operate correctly

Use the Product only within rated conditions, respond promptly to alarms, and stop operation where continued use could cause damage or safety risk.

Maintain properly

Complete all daily, monthly, periodic, and hour-based maintenance required by the manual and service schedule.

Keep records

Maintain written service logs showing maintenance date, work performed, parts used, operating hours, and technician details.

Use approved parts and service

Use genuine or approved ZGyro parts and authorized service procedures where required.

Provide evidence

Provide photographs, videos, alarm logs, control-screen data, operating-hour data, service records, and inspection information when requested.

Submit claims promptly

Notify ZGyro USA or the applicable authorized contact in writing within thirty (30) days after first discovering a defect or malfunction.

Failure to meet these responsibilities may delay claim processing, reduce available remedies, or result in denial of warranty coverage.

 

8. Installer, Dealer, Boat Builder, Shipyard, and Service-Provider Responsibilities

ZGyro Products are specialized marine systems that must be installed, commissioned, serviced, and diagnosed by qualified professionals. Depending on the transaction, ZGyro USA may install Products, coordinate installers, certify installers, sell through dealers, work with boat builders or OEMs, or supply equipment only. The specific responsibilities accepted by ZGyro USA and any dealer, installer, boat builder, shipyard, marina, technician, or other service provider will be determined by the applicable Order Documents and written project communications.

 

Where a dealer, Certified Installer, boat builder, shipyard, marina, technician, subcontractor, or customer-selected provider performs installation, commissioning, electrical work, cooling-system work, structural work, mounting, integration, inspection, troubleshooting, repair, or service, that party remains responsible for its own work, personnel, subcontractors, local compliance, supervision, workmanship, and professional obligations.

 

Installers and service providers are responsible for verifying, as applicable, foundation suitability, structural requirements, electrical compliance, cooling-system requirements, mounting, fasteners, vibration isolation, access, commissioning checks, alarm review, documentation, local licensing, applicable marine standards, and safe work practices. If a claim investigation determines that a failure was caused by installation error, non-compliant commissioning, inadequate structure, improper power or cooling integration, third-party workmanship, or other non-ZGyro work, the claim may be denied and the responsible third party may be responsible for repair costs.

 

9. Costs Not Covered by This Limited Warranty

Unless expressly approved in writing as part of an authorized warranty repair, the Owner is responsible for vessel-related, access-related, facility-related, and third-party costs connected with inspection, diagnosis, service, warranty review, non-warranty repair, or claim administration. These costs remain the Owner’s responsibility even if a reported issue is later determined to involve a covered manufacturing defect, except where ZGyro USA expressly agrees otherwise in writing or where applicable law requires otherwise.

Owner-side troubleshooting

Initial inspection, evidence gathering, alarm review, photographs, service-log collection, and preliminary troubleshooting unless approved otherwise.

Non-warranty repairs

Repairs caused by installation error, misuse, lack of maintenance, external component failure, unauthorized modification, environmental damage, or other excluded causes.

Third-party systems

Vessel power systems, external pumps, plumbing, wiring, controls, structures, and equipment not supplied as part of the eligible Product.

If a non-compliant installation or third-party workmanship creates access difficulty, damage, or repair cost, the Owner may have separate rights against the responsible installer, dealer, boat builder, shipyard, marina, technician, contractor, insurer, or other party. Those separate rights do not expand ZGyro USA’s warranty obligations.

 

10. General Warranty Exclusions

This Limited Warranty does not cover damage, defects, malfunctions, reduced performance, service needs, or losses caused by events, conditions, or conduct outside the scope of a confirmed defect in materials or workmanship.

 

Excluded matters include, without limitation, accident, negligence, misuse, abuse, willful misconduct, improper operation, ignored alarms, operation outside design parameters, excessive vessel size or displacement, inappropriate product selection, inadequate site preparation, improper installation, non-compliant commissioning, inadequate vessel structure, improper mounting, improper electrical work, improper cooling-system work, insufficient power supply, insufficient cooling supply, failure of external components, third-party equipment failure, corrosion, water intrusion beyond rated conditions, submersion, environmental exposure, fire, flood, lightning, collision, grounding, casualty, force majeure, lack of required maintenance, missing service records, overdue consumables, unauthorized service, unauthorized software or controller changes, and use of non-genuine or unapproved parts.

 

This Limited Warranty also does not cover normal wear and tear, cosmetic wear that does not materially affect Product function, maintenance items, consumable parts, scheduled service, adjustment, cleaning, periodic inspections, owner training, operator error, or performance concerns caused by vessel-specific conditions.

 

11. Warranty-Voiding Events

To the fullest extent permitted by applicable law, warranty coverage may be voided, denied, suspended, or limited if any of the following events occur.

Serial-number removal or defacement

Removal, alteration, or defacement of identifying labels may prevent claim verification and void coverage.

Use on an unsuitable vessel

Operation on a vessel outside Product rating, hull-length, displacement, or installation limits may void coverage.

Failure to follow maintenance requirements

Missing service records or failure to complete required maintenance may result in denial of coverage.

12. Consumable Parts and Scheduled Maintenance

Consumable parts, scheduled maintenance items, and parts replaced as part of routine maintenance are not covered under this Limited Warranty unless a separate written warranty expressly states otherwise. The Owner is responsible for replacing consumables at the intervals stated in the applicable manual, maintenance schedule, service bulletin, or written instructions.

Owners should refer to the applicable Product manual and service documentation for exact intervals, approved parts, approved fluids, approved service procedures, and authorized-service requirements.

 

13. Warranty Claim Procedure

All warranty claims must follow the required claim procedure. No warranty repair, replacement, return, reimbursement, labor charge, travel charge, or other cost will be covered unless the claim has been reviewed and approved in writing before work begins, except where ZGyro USA expressly states otherwise in writing or applicable law requires otherwise.

 

Upon discovering a defect or malfunction, the Owner should immediately stop operating the Product if continued operation could cause additional damage, safety risk, overheating, unusual noise, uncontrolled precession, alarm escalation, or other harm. The Owner must then notify ZGyro USA or the applicable authorized contact in writing within thirty (30) days after first discovering the issue.

 

A warranty claim should include all information reasonably needed to evaluate the issue.

Service log, maintenance history, parts-replacement history, and technician details.

Purchase and registration records

Proof of purchase, warranty registration confirmation, commissioning documents, and related Order Documents.

After receiving a claim, ZGyro USA, the manufacturer, the distributor, dealer, Certified Installer, or Authorized Service Center may conduct a remote assessment, request additional information, require an on-site inspection, classify the likely root cause, require a technical inspection report, and determine whether the issue appears to be covered.

 

If an on-site inspection is required, the cost responsibility for that inspection may depend on the final root-cause determination. If the issue is confirmed as a covered manufacturing defect, approved inspection and repair costs may be handled according to the written claim authorization. If the issue is caused by installation error, non-compliant commissioning, operational misuse, maintenance neglect, external component failure, environmental damage, unauthorized modification, or another excluded cause, the Owner or responsible third party may be charged for inspection, diagnosis, travel, labor, parts, and repair costs.

 

14. Claim Authorization and Approved Repairs

No repair work may begin and no costs may be incurred for warranty reimbursement unless written claim authorization has been issued by ZGyro USA, the manufacturer, the applicable authorized distributor, or another party expressly authorized in writing to approve the claim.

 

A written claim authorization may identify the authorized repair scope, replacement parts, labor allowance, service provider, evidence requirements, return requirements for replaced parts, testing requirements, and closure documentation. Costs incurred without prior written authorization may not be reimbursed.

 

Approved repairs must be performed using genuine or approved ZGyro replacement parts and authorized procedures. After completion, the service provider may be required to test the Product, confirm normal operation, complete a service report, document replaced parts, provide post-repair operating data, and submit closure documentation. Replaced parts may be required to be returned and may become the property of the manufacturer or applicable warranty provider.

 

15. Warranty Remedies

If a claim is approved, the exclusive warranty remedy will be the remedy authorized in writing, which may include repair, replacement, approved parts, approved labor, or other remedy stated in the written authorization or applicable warranty document. Replacement components may be new or factory-remanufactured equivalents.

 

Warranty remedies do not include refunds, product upgrades, vessel replacement, vessel repurchase, loss-of-use payments, charter-loss payments, tournament-loss payments, substitute-equipment costs, non-approved labor, owner-performed work, unauthorized repairs, unrelated vessel repairs, or incidental or consequential costs unless expressly required by applicable law or expressly approved in writing.

 

16. Limitation of Liability

To the fullest extent permitted by applicable law, ZGyro USA, the manufacturer, distributors, dealers, installers, Authorized Service Centers, service providers, and their respective owners, officers, directors, employees, contractors, representatives, affiliates, suppliers, and agents will not be liable for special, incidental, indirect, consequential, exemplary, punitive, or enhanced damages arising out of or related to any Product, warranty claim, delayed service, denied claim, alleged defect, repair, replacement, installation, commissioning, maintenance, operation, use, inability to use, vessel downtime, loss of profits, loss of revenue, loss of charter income, loss of tournament opportunity, travel cost, marina cost, yard cost, haul-out cost, berthing cost, substitute equipment, or damage to vessel structures or adjacent components, even if advised of the possibility of those damages.

 

To the fullest extent permitted by applicable law, the maximum cumulative liability for all warranty claims arising from a single Product unit will not exceed the total purchase price paid by the first retail customer for that Product unit, as shown on the original purchase invoice.

 

Some jurisdictions do not allow certain exclusions or limitations, so some limitations may not apply to you. In those jurisdictions, liability will be limited to the fullest extent permitted by applicable law.

 

17. Implied Warranties and Non-Waivable Rights

To the fullest extent permitted by applicable law, all implied warranties, including any implied warranty of merchantability and any implied warranty of fitness for a particular purpose, are disclaimed or limited to the shortest period permitted by law. Nothing in this Limited Warranty is intended to exclude, restrict, or modify any right that cannot lawfully be excluded, restricted, or modified.

 

If you are a consumer or other protected purchaser under applicable law, you may have legal rights that vary by state or jurisdiction. This Limited Warranty gives you specific contractual warranty rights, and you may also have other rights under applicable law.

 

18. No Unauthorized Warranty Modifications

No dealer, distributor, installer, boat builder, shipyard, marina, technician, salesperson, service provider, representative, employee, contractor, or other person may change this Limited Warranty, extend warranty coverage, approve a claim, promise a remedy, waive an exclusion, or bind ZGyro USA to additional warranty obligations unless expressly authorized in a written document issued or accepted by ZGyro USA or the applicable authorized warranty provider.

 

Any unauthorized warranty statement, sales statement, service statement, website statement, email, text, oral statement, or third-party representation does not modify this Limited Warranty.

 

19. Policy Updates

ZGyro USA may update this Limited Warranty from time to time. The version posted on the Website will identify the applicable effective date. Unless a later version provides greater rights or ZGyro USA expressly agrees otherwise in writing, the warranty version in effect at the time of the original Product sale will generally govern warranty claims arising from that sale, subject to applicable law and any specific written warranty provided for the Product.

 

20. Governing Law

This Limited Warranty and any dispute arising out of or relating to this Limited Warranty are governed by the laws of the State of California, without regard to conflict-of-law principles, except where a specific written manufacturer warranty, distribution agreement, purchase document, or mandatory law requires a different governing law for a specific claim or party.

 

Subject to any mandatory law that gives you the right to bring claims elsewhere, the state and federal courts located in Orange County, California will have exclusive jurisdiction over disputes arising out of or relating to this Limited Warranty involving ZGyro USA, and you consent to personal jurisdiction and venue in those courts.

 

21. How to Request Warranty Support

To request warranty support, please contact ZGyro USA and provide the information described in this Limited Warranty, including your Product model, serial number, installation date, commissioning date, current operating hours, proof of purchase, warranty registration confirmation, maintenance records, photographs, alarm information, and a detailed description of the issue.
