Please read this Returns and Cancellation Policy carefully before submitting an order, accepting a quotation, paying a deposit, scheduling installation, requesting service, authorizing a dealer or installer to proceed, or purchasing any ZGyro product, part, accessory, service, installation, commissioning, inspection, repair, or other offering from ZGyro USA.

 

This Policy applies to purchases and service transactions made directly with ZGyro USA unless a separate written agreement, signed quotation, invoice, purchase order, dealer agreement, installation agreement, service authorization, warranty document, or other written transaction document issued or accepted by ZGyro USA states different terms. This Policy should be read together with ZGyro USA’s Terms and Conditions, Limited Warranty Policy, Privacy Policy, and the applicable written order documents for your transaction.

 

1. Definitions

For purposes of this Policy, the following terms have the meanings stated below. These definitions are intended to make the Policy easier to read and do not limit any additional definitions or terms stated in an applicable written order document.

ZGyro USA LLC, doing business as ZGyro USA.

Customer, you, or your

The person or business requesting, purchasing, receiving, installing, operating, owning, or paying for a Product or Service.

Product

Any ZGyro gyro stabilizer, component, part, controller, accessory, replacement part, consumable item, documentation, software-related item, or other physical item supplied by or through ZGyro USA.

Service

Any consultation, project review, vessel review, installation, installer coordination, installer certification support, commissioning, inspection, diagnosis, warranty support, repair, training, technical support, or other service offered by or through ZGyro USA.

Order Documents

Written quotations, invoices, purchase orders, deposit requests, installation agreements, service authorizations, commissioning documents, dealer documents, warranty documents, or other written transaction documents issued or accepted by ZGyro USA.

Special-Order Product

A Product that is ordered, reserved, configured, imported, allocated, scheduled, assigned, or otherwise obtained for a specific customer, vessel, project, dealer, installer, boat builder, OEM, or order.

Return Authorization or RMA

Written approval from ZGyro USA authorizing a specific Product return before the Product is sent back, moved, removed, repacked, or tendered for return.

2. Policy Summary

ZGyro Products are specialized marine systems that may be selected, ordered, configured, imported, reserved, installed, commissioned, or allocated for a specific vessel or project. For that reason, returns, exchanges, cancellations, deposit refunds, and service cancellations are more limited than ordinary retail returns.

 

Situation

General Policy

Quote request or inquiry only

A quote request, consultation request, or product inquiry may generally be cancelled before order acceptance because no binding order exists until the applicable Order Documents are accepted and any required payment step is completed.

Accepted order before Product commitment

Cancellation may be allowed if ZGyro USA has not reserved inventory, ordered, configured, imported, allocated, scheduled, or assigned Products or Services for the customer or vessel.

Deposit or milestone payment

Deposits and milestone payments may be non-refundable to the extent stated in the Order Documents and permitted by law, especially after ZGyro USA has incurred costs or committed resources.

Special-Order Products

Special-Order Products are generally final sale and may not be cancelled, returned, or exchanged once ordered, reserved, configured, imported, allocated, scheduled, or assigned, unless ZGyro USA agrees otherwise in writing or applicable law requires otherwise.

Installed, commissioned, used, modified, damaged, or opened Products

These Products are generally not returnable for refund or exchange unless ZGyro USA expressly approves the return in writing or the issue is handled under the Limited Warranty Policy.

Approved standard-stock returns

Any return requires prior written authorization, proof of purchase, original packaging where applicable, unused and resalable condition, inspection, and compliance with this Policy and the Order Documents.

Defective or malfunctioning Products

Product concerns after delivery, installation, commissioning, or use are generally handled under the Limited Warranty Policy, not as ordinary returns.

3. Order Acceptance and Cancellation Before Acceptance

A website visit, quote request, dealer referral, consultation, availability discussion, product recommendation, installer discussion, financing discussion, service discussion, or exchange of preliminary information does not create a binding purchase or service obligation. A binding order is created only when ZGyro USA issues or accepts the applicable Order Documents and any required deposit, payment, written acceptance, or other acceptance step has been completed according to those Order Documents.

 

If you wish to cancel before a binding order has been accepted, you should notify ZGyro USA in writing as soon as possible at office@zgyro-usa.com. If no Product has been reserved, ordered, configured, imported, allocated, assigned, or scheduled, and no Service work has begun or been scheduled in a way that causes ZGyro USA or a third party to incur cost, ZGyro USA will generally confirm cancellation without charging a cancellation fee.

 

4. Cancellation After Order Acceptance

After a binding order has been accepted, cancellation rights are limited by the applicable Order Documents, the stage of the order, the status of Product allocation, the status of installation or service scheduling, and the costs incurred by ZGyro USA, a dealer, a distributor, an installer, a service provider, a manufacturer, or another project participant.

 

Unless the applicable Order Documents state otherwise, ZGyro USA may deny cancellation or deduct incurred costs, committed costs, non-recoverable costs, administrative costs, inspection costs, reconditioning costs, payment-processing costs, third-party charges, and other reasonable costs from any refund or credit where the order has progressed beyond initial acceptance.

 

Stage of Order

Cancellation Treatment

Accepted but not yet committed

Cancellation may be approved in writing if no Product or Service commitment has been made and no non-recoverable cost has been incurred.

Product reserved, ordered, configured, imported, allocated, assigned, or scheduled

Cancellation may be denied, or the deposit may be non-refundable, because the Product may have been committed to a specific customer, vessel, project, dealer, installer, or timeline.

Installation, commissioning, inspection, diagnosis, repair, or service scheduled

Cancellation may be subject to costs already incurred or committed, including technician scheduling, project preparation, third-party arrangements, travel-related commitments, and administrative work.

Installation, commissioning, inspection, diagnosis, repair, or service started

Cancellation may be denied for completed work and may require payment for work performed, materials used, third-party charges, and committed costs.

Product installed, commissioned, used, modified, damaged, or integrated into a vessel

Cancellation and return are generally not available. Warranty issues, if any, must be submitted under the Limited Warranty Policy.

5. Deposits, Milestone Payments, and Non-Refundable Amounts

Deposits and milestone payments help ZGyro USA reserve inventory, manage lead times, order or allocate Products, coordinate technical resources, and schedule project work. A deposit or milestone payment may be non-refundable if the applicable Order Documents state that it is non-refundable or if ZGyro USA has incurred or committed costs in reliance on the order.

 

Non-refundable or deductible amounts may include amounts related to Product reservation, manufacturer ordering, configuration, importation, allocation, packaging, project planning, technical review, installation planning, dealer coordination, installer coordination, service scheduling, administrative work, payment-processing costs, and third-party commitments. ZGyro USA will not designate a payment as non-refundable in a way that violates applicable law.

 

6. Products Eligible for Return

Unless a different written return right is stated in the applicable Order Documents, only standard-stock Products that are unused, uninstalled, uncommissioned, unmodified, undamaged, complete, in original packaging, and in resalable condition may be considered for return. Return eligibility is not automatic. ZGyro USA must approve the return in writing before the Product is sent back, moved, removed, repacked, or tendered for return.

 

For standard-stock Products that ZGyro USA agrees to consider for return, the customer must request written Return Authorization within seven (7) days after delivery unless the applicable Order Documents state a different return period or applicable law requires a different period. Approval remains subject to inspection and compliance with this Policy.

 

7. Products and Transactions Not Eligible for Return

Because ZGyro Products are specialized marine systems, many Products and transactions are not eligible for return, exchange, or refund once committed to the customer or project. Unless ZGyro USA expressly agrees otherwise in writing or applicable law requires otherwise, the following are not returnable:

Products ordered, reserved, configured, imported, allocated, scheduled, assigned, or otherwise obtained for a specific customer, vessel, dealer, installer, boat builder, OEM, or project.

Installed or commissioned Products

Products installed, mounted, wired, connected, commissioned, integrated, tested, configured, calibrated, or placed into operation.

Used or operated Products

Products that have operating hours, alarm logs, use history, installation marks, commissioning records, or evidence of operation.

Modified or damaged Products

Products modified, altered, disassembled, repaired, damaged, exposed to improper conditions, affected by corrosion, impacted by water intrusion beyond rated conditions, or handled contrary to documentation.

Incomplete Products

Products missing original packaging, parts, accessories, controllers, cables, documentation, labels, serial-number markings, protective materials, or required return materials.

Consumables and service parts

Consumables, scheduled-maintenance parts, special service tools, parts installed or used during service, and items that cannot be resold as new.

Software, digital, or configuration items

Software-related items, controller configuration items, technical documents, license-related items, or configuration work once delivered, accessed, installed, assigned, or used.

Services

Completed consultations, project reviews, installation work, commissioning work, inspections, diagnosis, repairs, training, technical support, and other performed Services.

Final-sale or as-is items

Any item expressly identified as final sale, clearance, used, demo, refurbished, as-is, non-returnable, or specially discounted on the applicable Order Documents.

8. Return Authorization Procedure

To request a return, contact ZGyro USA in writing at office@zgyro-usa.com before taking any return action. Your request should include your name, company name if applicable, contact information, invoice number, purchase date, Product model, serial number, reason for return, photographs of the Product and packaging, confirmation that the Product is unused and uninstalled, and any other information requested by ZGyro USA.

 

If ZGyro USA approves the return for review, ZGyro USA may issue a written Return Authorization. The Return Authorization may include the authorized Product, required packaging, deadline for receipt, required documentation, inspection conditions, applicable deductions, and the location or procedure for the authorized return. A Return Authorization does not guarantee a refund. Final eligibility remains subject to inspection and verification.

 

Products returned without written Return Authorization may be refused, returned to the customer, held pending instructions, or processed at the customer’s expense, unless applicable law requires otherwise. ZGyro USA is not responsible for unauthorized returns, returns sent to the wrong location, returns submitted without required documentation, or returns that are damaged, incomplete, or inconsistent with the approved Return Authorization.

 

9. Inspection, Restocking, Reconditioning, and Deductions

All approved returns are subject to inspection. ZGyro USA or its designee may inspect the Product, packaging, documentation, accessories, serial number, operating-hour data, controller data, installation evidence, physical condition, and resale condition before approving any refund or credit.

 

If a return is approved after inspection, the refund or credit may be reduced by any amounts stated in the Order Documents and by reasonable amounts associated with inspection, testing, handling, repackaging, reconditioning, missing items, damage, use, payment-processing costs, administrative costs, and other costs caused by the return. ZGyro USA may deny a refund or credit if the Product is not eligible for return, is not in the required condition, is incomplete, is damaged, appears used, has been installed or commissioned, or differs from the Product authorized for return.

 

10. Refund Method and Timing

Approved refunds will generally be issued to the original payment method where reasonably practicable. For payments made through Stripe, PayPal, bank wire, ACH, or another approved method, refund processing may depend on the payment provider, bank, fraud-screening requirements, verification requirements, chargeback status, and any applicable legal or accounting obligations.

 

If the original payment method is unavailable or unsuitable, ZGyro USA may issue a refund by another commercially reasonable method, such as business check, ACH, bank transfer, credit memorandum, or other written arrangement. Refunds will be processed after ZGyro USA has approved the return or cancellation, completed any required inspection or reconciliation, verified payment clearance, and calculated any permitted deductions.

 

Payment-provider fees, bank fees, wire fees, currency-conversion costs, chargeback costs, and similar transaction costs may be deducted from refunds where permitted by law and stated in the Order Documents or otherwise applicable to the transaction.

 

11. Exchanges and Replacement Products

ZGyro USA is not required to offer exchanges unless ZGyro USA agrees in writing, the Order Documents provide for an exchange, or applicable law requires an exchange. If an exchange is approved, the original Product must satisfy all return conditions, and the customer must pay any price difference, applicable taxes, costs, third-party charges, payment-processing costs, and other amounts required by ZGyro USA.

 

If a Product has a suspected defect or malfunction, the matter should be submitted under the Limited Warranty Policy. Warranty remedies, if approved, may be limited to repair, replacement, parts, approved labor, or another remedy stated in the written warranty. A warranty claim does not automatically create a right to return the Product for refund.

 

12. Services, Installation, Commissioning, Inspection, and Repair Cancellations

Service appointments, installation work, commissioning work, inspections, diagnosis, repairs, training, project reviews, and technical-support work require scheduling, preparation, personnel planning, dealer or installer coordination, and other resource commitments. If you need to cancel or reschedule a Service, you must notify ZGyro USA in writing as soon as possible.

 

Unless the applicable Order Documents state otherwise, ZGyro USA may charge or withhold amounts for work already performed, materials or parts used, scheduled resources, third-party commitments, administrative work, and other costs incurred or committed before cancellation. If a Service has begun, the customer remains responsible for completed work and committed costs, even if the customer later cancels the remainder of the Service.

 

Where a dealer, installer, boat builder, shipyard, marina, technician, subcontractor, or other third party schedules, performs, manages, or cancels work, that party may have its own cancellation, rescheduling, refund, or service-charge policy. ZGyro USA is not responsible for third-party cancellation fees, third-party service terms, or third-party refund decisions unless ZGyro USA expressly accepted that responsibility in writing.

 

13. Dealer, Installer, Boat Builder, OEM, and Third-Party Transactions

ZGyro USA may sell directly to customers, sell through dealers or distributors, coordinate installers, certify installers, work with boat builders or OEMs, support third-party service providers, or supply equipment only. The return and cancellation rights for a transaction may depend on who sold the Product, who accepted payment, who issued the invoice, who performed installation or service, and what written documents govern the transaction.

 

If you purchased from a dealer, distributor, boat builder, OEM, installer, shipyard, marina, technician, or other third party, you may need to contact that seller or service provider directly for returns, cancellations, refunds, exchanges, service charges, and payment disputes. Third-party sellers and service providers should provide their own applicable return, cancellation, refund, and privacy notices when they collect customer data or accept customer payments directly.

 

No dealer, installer, salesperson, service provider, technician, representative, employee, contractor, or other third party may approve a ZGyro USA return, cancellation, refund, exchange, deposit refund, or warranty remedy unless expressly authorized in writing by ZGyro USA or the applicable authorized warranty provider.

 

14. Defective Products, Warranty Claims, and Product Concerns

Returns and cancellations are different from warranty claims. If you believe a Product is defective, malfunctioning, damaged, improperly operating, or failing to perform as expected after delivery, installation, commissioning, or use, you should contact service@zgyro-usa.com and follow the Limited Warranty Policy.

 

The Limited Warranty Policy may require proof of purchase, Product model, serial number, installation information, commissioning information, operating hours, alarm information, photographs, videos, service records, maintenance records, inspection information, and written claim authorization before warranty work begins. Unauthorized repairs, unauthorized disassembly, unauthorized modifications, use of non-approved parts, failure to follow operating instructions, missing maintenance records, improper installation, and other excluded causes may affect warranty coverage.

 

15. Damaged, Missing, or Incorrect Products at Delivery

You should inspect Products promptly upon receipt and before installation, commissioning, or use. If a Product appears damaged, incomplete, incorrect, or inconsistent with the Order Documents, notify ZGyro USA in writing as soon as possible and before installing, commissioning, modifying, using, or disposing of any packaging or documentation.

 

Your notice should include photographs, videos if helpful, invoice information, Product model, serial number, packaging condition, description of the issue, and any related documentation. ZGyro USA may request inspection, documentation, preservation of packaging, or other evidence before determining the appropriate next step. Installing, commissioning, modifying, using, or discarding materials before reporting the issue may limit available remedies.

 

16. Chargebacks, Payment Disputes, and Reversed Payments

If you believe there is an issue with an order, payment, cancellation, return, refund, or Service, please contact ZGyro USA first so that we can review the matter. Unauthorized chargebacks, payment reversals, stopped payments, disputed wires, disputed ACH payments, or payment-provider disputes may delay order processing, cancellation processing, refund processing, return review, warranty review, installation scheduling, or service scheduling.

 

ZGyro USA reserves the right to suspend or cancel orders, withhold Services, withhold delivery, withhold Return Authorization, pause warranty review, recover collection costs, and pursue available remedies where a payment is reversed, disputed, fraudulent, incomplete, or not received, except where prohibited by law.

 

17. Taxes, Fees, and Third-Party Costs

Unless ZGyro USA states otherwise in writing, the customer is responsible for applicable taxes, government charges, permitting costs, inspection charges, marina charges, yard charges, haul-out costs, vessel-access costs, vessel-preparation costs, payment-provider fees, bank fees, third-party service charges, and other costs associated with the order, return, cancellation, installation, commissioning, service, repair, or warranty process.

 

Refunds, credits, or cancellations may not include reimbursement of taxes, fees, or third-party costs unless ZGyro USA actually collected the amount, the amount is refundable to ZGyro USA, and applicable law or the Order Documents require the amount to be refunded.

 

18. Compliance With Applicable Law

This Policy is intended to comply with applicable law. Nothing in this Policy is intended to exclude, restrict, or modify any non-waivable right that a customer may have under applicable law. If any part of this Policy conflicts with a non-waivable legal requirement, the non-waivable requirement will control to the extent of the conflict.

 

California law may require clear disclosure of limited or no-refund policies in certain retail contexts. ZGyro USA therefore makes this Policy available before purchase and may also reference or include return and cancellation terms in quotations, invoices, order forms, dealer documents, service documents, and other Order Documents.

 

19. Changes to This Policy

ZGyro USA may update this Policy from time to time. The version that applies to a specific transaction is generally the version in effect when the applicable order is accepted, unless the Order Documents state otherwise or applicable law requires otherwise. Updated versions will be posted on the Website with an updated effective date.
